All Materials included in the Service are the property of PolicyMarket or its third party licensors. Except as expressly authorized by PolicyMarket, you may not make use of the Materials. PolicyMarket reserves all rights to the Materials not granted expressly in these Terms.

User content

In these terms and conditions, "your user content" means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to this website, for whatever purpose.

You grant to PolicyMarket a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to PolicyMarket the right to sub-license these rights, and the right to bring an action for infringement of these rights.

Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or PolicyMarket or a third party (in each case under any applicable law).

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

PolicyMarket reserves the right to edit or remove any material submitted to this website, or stored on PolicyMarket's servers, or hosted or published upon this website.

In addition, PolicyMarket may, at its sole discretion, terminate these Terms or your account on the Service, or suspend or terminate your access to the Service, at any time for any reason or no reason, with or without notice.

PolicyMarket reserves the right to modify or discontinue the Service at any time (including by limiting or discontinuing certain features of the Service), temporarily or permanently, without notice to you. PolicyMarket  will have no liability for any change to the Service or any suspension or termination of your access to or use of the Service.

Indemnity

To the fullest extent permitted by law, you are responsible for your use of the Service, and you will defend and indemnify PolicyMarket and its officers, directors, employees, consultants, affiliates, subsidiaries and agents (together, the “PolicyMarket Entities”) from and against every claim brought by a third party, and any related liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or connected with: (a) your unauthorized use of, or misuse of, the Service; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of those claims.

• for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

Limitation of Liability

To the fullest extent permitted by law, in no event will the PolicyMarket entities be liable to you for any indirect, incidental, special, consequential or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of or relating to your access to or use of, or your inability to access or use, the service or any materials or content on the service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not any PolicyMarket Finance entity has been informed of the possibility of damage.

Except as provided in the above section and to the fullest extent permitted by law, the aggregate liability of the PolicyMarket entities to you for all claims arising out of or relating to the use of or inability to use any portion of the service or otherwise under these terms, wither in contract, tort, or otherwise, is limited to the greater of: (a) the amount you have paid PolicyMarket for access to and use of the service in the 3 months prior to the event or circumstance giving rise to claim; or (b) $100.

Exceptions

Nothing in this website disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in this website disclaimer will exclude or limit PolicyMarket's liability in respect of any:

• death or personal injury caused by PolicyMarket's negligence;

• fraud or fraudulent misrepresentation on the part of PolicyMarket; or

• matter which it would be illegal or unlawful for PolicyMarket to exclude or limit, or to attempt or purport to exclude or limit, its liability.

Breaches of these terms and conditions

Without prejudice to PolicyMarket's other rights under these terms and conditions, if you breach these terms and conditions in any way, PolicyMarket may take such action as PolicyMarket deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

Variation

PolicyMarket may revise these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of this website from the date of the publication of the revised terms and conditions on this website. Please check this page regularly to ensure you are familiar with the current version.

Assignment

PolicyMarket may transfer, sub-contract or otherwise deal with PolicyMarket's rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.

Severability

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

Entire agreement

These terms and conditions, together with PolicyMarket’s cookie policy, privacy policy and terms of use constitute the entire agreement between you and PolicyMarket in relation to your use of this website, and supersede all previous agreements in respect of your use of this website.

Arbitration Agreement

Any dispute or claim relating in any way to your use of this website or PolicyMarket’s services will be resolved by binding arbitration, rather than in court. The Federal Arbitration Act and federal arbitration law apply to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Conditions of Use as a court would.

To begin an arbitration proceeding, one party must deliver written notice demanding arbitration to the other party. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules. We will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. Likewise, PolicyMarket will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
